FundTap Luxembourg Funds is a corporate partnership limited by shares (société en commandite par actions (S.C.A.)) incorporated under the laws of the Grand Duchy of Luxembourg as an investment company with variable share capital (société d'investissement à capital variable (SICAV)), established as a specialized investment fund (Fonds d'Investissement Spécialisé (SIF)). FundTap Luxembourg Funds is registered pursuant to the law dated 13 February 2007 on specialized investment funds, as amended from time to time (the “Law”). According to the current legislation, FundTap Luxembourg Funds is only available to the following well informed investors: institutional investors; professional investors or any other investors who (i) adhere in writing to the status of well-informed investors and (ii) either invest a minimum of EUR 125,000.- in the Fund or benefit from a certificate delivered by a credit institution within the meaning of Directive 2006/48/CE, another investment company within the meaning of Directive 2004/39/CE or a management company within the meaning of Directive 2001/107/EC stating that they are experienced enough to appreciate in an adequate manner an investment in a specialised investment fund. Prospective investors in the Fund should be aware that the Fund can be marketed as a public offering in Luxembourg (to well-informed investors only). It is necessary to refer to the investment memorandum and to the Law before any decision to invest in FundTap Luxembourg Funds. Subscription application forms can be provided by Apex Fund Services Ltd upon request but any subscription application form can be rejected by the general partner of FundTap Luxembourg Funds and/or by Apex Fund Services Ltd. N.B: Investment in the FundTap Luxembourg Funds carries substantial risks. There can be no assurance that the investment objectives of the sub-fund of FundTap Luxembourg Funds will be achieved and investment results may vary substantially over time. Investment in the sub-fund of FundTap Luxembourg Funds is not intended to be a complete investment program for any investor.
